Terms of Service

1. Service Description

O'Riio is a cloud-based restaurant operations platform that provides tools for tip management, inventory tracking, food cost analysis, recipe costing, menu engineering, performance tracking, and related operational functions. The Services may be offered under different subscription plans or service levels, and available features may vary based on the plan, integrations, and services selected. We may modify, update, add, or discontinue features or offerings from time to time.

2. Account Registration

To use our Services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years of age
• Have the authority to bind the organization you represent

You are responsible for all activity that occurs under your account. O'Riio is not liable for any loss resulting from unauthorized use of your account.

3. Subscription and Payment

Paid Services

Certain features of the Services may require a paid subscription or other fees. Subscription plans, pricing, billing frequency, usage limits, included features, and other commercial terms will be presented at the time of purchase, in an order form, proposal, invoice, pricing page, or other applicable purchasing document. We may offer monthly, annual, multi-location, enterprise, or custom pricing arrangements.

Billing and Renewal

Unless otherwise stated in the applicable purchasing document, subscriptions are billed in advance on a recurring basis. Billing cycles may be monthly, annually, or as otherwise agreed in writing. By subscribing, you authorize us or our third-party payment processor to charge the applicable fees, taxes, and any other charges associated with your selected Services using your designated payment method.

Pricing Changes

We may change subscription fees, pricing structure, or billing terms from time to time. Any pricing changes will apply prospectively only and, where required, we will provide advance notice before such changes take effect.

Payment Terms

All fees are stated in U.S. dollars unless otherwise specified. Fees are non-refundable except as required by law or as expressly stated in an applicable purchasing document. You are responsible for providing and maintaining current, complete, and accurate billing and payment information, as well as for any applicable taxes, duties, or similar governmental charges.

Failed Payments

If a payment is declined, overdue, or otherwise fails, we may notify you and provide an opportunity to update your payment information or cure the non-payment. If payment is not received within the applicable cure period, we may suspend or limit access to some or all of the Services until the account is brought current. We reserve the right to terminate accounts with unresolved payment failures. Additionally, if payment is not received within fourteen (14) days after notice, we may suspend access to the Services.

Cancellation

You may cancel your subscription in accordance with the terms of your applicable plan or purchasing document. Unless otherwise stated, cancellation will take effect at the end of the then-current billing period, and you will continue to have access to the paid Services through that period. No refunds or credits will be provided for partial billing periods unless required by law or expressly stated otherwise.

Post-Cancellation Data Access

Following cancellation or termination, we may retain your data for a limited period to allow account reactivation or data export, after which it may be deleted in accordance with our data retention practices and Privacy Policy. Following cancellation, we may retain account data for up to ninety (90) days to allow data export or account reactivation, unless a longer retention period is required by law or reasonably necessary for legitimate business purposes.

4. Data Ownership and Intellectual Property

Your Data

You retain full ownership of all data you enter into O'Riio. This includes but is not limited to: tip records, inventory counts, recipes, vendor information, employee performance data, invoices, and any other operational data.

We claim no ownership interest in your data. We use your data solely to provide and improve the Services as described in our Privacy Policy.

Our Intellectual Property

The O'Riio platform, including its software, design, branding, documentation, and all related intellectual property, is owned by Execution Edge Group LLC and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription period. You may not:

• Copy, modify, or distribute any part of the Services
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services to build a competing product
• Remove any proprietary notices or labels
• Sublicense or transfer your access to a third party

Recipe Vault

Recipes you designate as “vaulted” are protected by application-level access controls. Vaulted recipe ingredients and preparation details are hidden from unauthorized team members. However, Recipe Vault is a UI access control feature, not an encryption or legal protection mechanism. O'Riio does not guarantee protection of trade secrets and recommends independent legal measures for intellectual property protection.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other organizations' data
• Interfere with or disrupt the Services or servers
• Use the Services to store or transmit content that infringes intellectual property rights
• Exceed reasonable usage limits or engage in automated scraping
• Share account credentials with unauthorized individuals

We reserve the right to suspend or terminate access for violations of these terms.

6. Service Availability and Support

Availability

We strive to maintain 99.9% uptime for the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Infrastructure issues beyond our control (hosting providers, DNS, etc.)
• Force majeure events

Support is available via email at support@theoriio.com. We aim to respond to inquiries within:

• Critical issues: 4 to 8 business hours
• General inquiries: 1 business day

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, O'RIIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

O'RIIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO O'RIIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Indemnification

You agree to indemnify and hold harmless O'Riio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Any data you enter into the Services

9. Termination

By You

You may terminate your account at any time by canceling your subscription through the platform or by contacting us at support@theoriio.com.

By O'Riio

We may suspend or terminate your access if:

• You breach these Terms
• Your account is past due beyond the stated period
• We reasonably believe your use poses a security risk
• We are required to do so by law

Effect of Termination

Upon termination:

• Your access to the Services will cease
• Your data will be retained for 90 days (you may request an export)
• Any outstanding fees remain due and payable
• Sections of these Terms that by their nature should survive will survive (including Limitation of Liability, Indemnification, and Governing Law)

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising from these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in the State of Florida, in accordance with the rules of the American Arbitration Association.

You agree to waive any right to a jury trial and to participate in class action lawsuits related to these Terms or the Services.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the platform at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

12. General

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and O'Riio
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger or acquisition.
